By using our services, you agree to the terms and conditions outlined on this website. These terms govern the scope of work, client responsibilities, payment schedules, and delivery timelines. They also cover intellectual property rights, confidentiality, and limitations of liability. We encourage you to review our full terms to ensure a clear understanding of your rights and obligations.

Definitions

"Company" refers to Clarus Web.

"Client" refers to the person or organization purchasing services from the Company.

"Project" refers to the work agreed upon between the Company and the Client as outlined in the Project Agreement or Proposal.

"Services" refer to website development, design, hosting, and any other related services offered by the Company.

Scope of Work

The Company will provide the Services as described in the Project Agreement or Proposal. Any additional requests or changes outside the original scope may result in additional costs and will require a separate written agreement or amendment to the original contract.

Client Responsibilities

The Client agrees to provide all necessary content, including but not limited to text, images, videos, and logos, in the required formats within agreed-upon deadlines. Ensure that all provided content complies with copyright and intellectual property laws. Provide timely feedback and approvals during the project lifecycle. Failure to provide the necessary content or approvals may result in project delays and potential additional costs.

General

These Terms and Conditions supersede all previous representations, understandings, or agreements. The Client's signature below, payment of an advance fee, or any payment made to Clarus Web for web development services signifies their agreement to and acceptance of these Terms and Conditions.

Governing Law

These Terms and Conditions are governed by Indian law. Any disputes arising from this agreement will be resolved in the courts of Hyderabad jurisdiction.

Web Browsers

Clarus Web is dedicated to building websites that are accessible to a wide audience. Our designs are tailored for major web browsers, including Firefox, Google Chrome, and Microsoft Edge. However, the Client acknowledges that we cannot guarantee optimal performance across all browser platforms and operating systems. Additionally, Clarus Web cannot be held responsible for any display issues that may arise due to new browser versions released after the website has been finalized and delivered. As a result, we reserve the right to offer a nominal quote for any modifications required to update the website design or code to work with newer browser technologies. We want to let you know that it’s a common issue for websites to experience compatibility problems with new versions of browsers. As web technologies evolve and browsers are updated, changes can affect how websites are displayed or function. This can happen due to : Browsers may remove support for outdated technologies, causing parts of a website to break, Security Updates: Changes aimed at improving security may impact certain functionalities of a website, browser Updates often introduce new features that older code might not support. Because of these factors, ongoing maintenance and updates are often necessary to ensure continued compatibility and optimal user experience.

Termination

Either party may terminate the contract via email, SMS, or WhatsApp. In the event of termination by the Client, any work completed up to the termination date will be invoiced and must be paid. All deposits paid by the Client are non-refundable.

Non-Disclosure

We agree not to disclose any of your confidential information to any third party at any time.

Ownership of Domain Names and Web Hosting

We may acquire domain names for the Client. The Client is responsible for all payments and renewals associated with these domain names. Clarus Web is not liable for any loss or cancellation of the domain resulting from late or missed payments. It is advisable for the Client to maintain a record of payment deadlines to ensure timely submissions.

Liability

Clarus Web, along with its employees, disclaims all liability for: Loss or damage resulting from any inaccuracies, omissions, delays, or errors—regardless of whether they stem from negligence or other factors—in the production of the website; loss or damage to client-provided artwork or photos; and any loss or damage shall not be influenced by the cause, including negligence.

Post-Placement Alterations

If the Client desires to modify the website after installation, they agree to allow Clarus Web the chance to provide a quote for those changes. The Client is under no obligation to accept any quote offered by Clarus Web. Clarus Web disclaims any responsibility for modifications made to the website by the Client or any third party after installation. This includes, but is not limited to, additions, changes, or removals.

Failure to provide required website content

Being a small business, we focus on maintaining efficiency by ensuring that scheduled tasks are completed on time. Occasionally, we may need to turn down other opportunities and inquiries to prioritize the timely completion of your project. For this reason, we request that the Client submits all necessary information ahead of time. If we are unable to advance the Client’s website due to missing information within the agreed timeframe, resulting in delays, we reserve the right to apply an additional fee of up to 25% of the total charges. If the Client commits to providing the necessary information but fails to do so within one week of the project start date, we reserve the right to terminate the project, with any outstanding balance due immediately. In other words, please ensure you are fully prepared before giving us the green light to begin.

Project Completion Timeline and Content Management

The Client commits to providing Clarus Web with all essential support, information, materials, data, and access to staff, as well as timely decisions that may be reasonably required for effective service delivery. This includes designating one individual as the main point of contact to facilitate the smooth and efficient progress of the project.

Client Feedback

Clarus Web will give the Client a chance to review the website’s design and content during development and after its completion. If the Client does not raise any issues within ten (10) days of receiving the materials or completed website, they will be considered accepted and approved.

Invoicing and Payment

Clarus Web will issue invoices according to the specified timelines. Invoices are typically sent via email; however, hard copies can be provided upon request. Payment is expected upon receipt of the invoice by the Client. Payment for services can be made via cheque or bank transfer. For international transactions, we will provide options for local bank transfers and payment links for convenience. Cheques should be made payable to "Clarus Web." Bank details will be included on the invoices.

A non-refundable deposit of 70% of the total project cost is required before work begins. The remaining balance will be due in installments as agreed in the Project Agreement, typically tied to project milestones. Final payment is due upon project completion and before the website is made live or transferred to the Client. Late payments may incur interest charges of 3% per month after [30] days of the invoice date. Payments and deposits are non-refundable once made. In the event of a project cancellation or postponement, all funds paid will be retained by Clarus Web. If applicable, the client will be required to cover any additional fees for work completed beyond the amount already paid.

Charges

All website design and develpment services necessitate an upfront payment of at least sixty (60) percent of the total project quotation before work begins. This advance payment is non-refundable upon cancellation or termination once the project has commenced. A final payment of forty (40) percent is due upon completion of the work, prior to uploading the site to the hosting server or releasing any materials. Your website may be taken down also if invoice is not paid on time.

Third Party Servers

Clarus Web builds and tests websites on its proprietary servers and cannot guarantee proper functionality if the Client selects a third-party hosting solution. Should the Client decide to use an external server, it is the Client's responsibility, along with the hosting provider, to ensure compatibility with the website. Clarus Web can provide support in configuring the server if needed, but this service may come with additional costs.
